Software License Agreement (SaaS)

1. Grant

Subject to the applicable Order Form or plan, Upplio AI grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service and its documentation solely for the Customer's internal business purposes during the subscription period.

2. SaaS Usage Rights

The Service is provided as a hosted, cloud-based subscription. The Customer receives no right to obtain a copy of the Service software.

3. API Usage

If APIs are made available, the Customer may access them subject to published rate limits and fair-use limits. Excessive usage may be throttled. API keys must be kept confidential and are the Customer's responsibility.

4. Subscription Limits

The Order Form or plan specifies applicable seat, request, storage and other usage limits. Overages may be charged.

5. Restrictions

The Customer will not: (a) reverse-engineer, decompile or disassemble the Service; (b) sublicense, sell, rent, lease, distribute or make the Service available to third parties (other than authorised users); (c) build a competing service using AI Output; (d) circumvent usage limits or security features; or (e) remove or alter proprietary notices.

6. Ownership

All right, title and interest in the Service, including intellectual-property rights, remain with Upplio AI.

7. Compliance and Audit

The Customer will ensure authorised users comply with this Agreement. Upplio AI may audit compliance on reasonable notice, subject to confidentiality.

8. Term and Termination

This Agreement continues for the subscription term. On termination, the licence ends and access is revoked.

9. Warranty Disclaimer and Liability

Warranties are disclaimed and liability is limited as set out in the MSA or Terms of Service, whichever applies.

Amendments

Upplio AI may amend this document from time to time. Material changes will be notified by email or in-app notice at least fourteen (14) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the amended terms.
