Employee Confidentiality & IP Assignment Agreement

Template protecting Upplio AI trade secrets and vesting employee IP.

This Agreement is entered into between Upplio AI ("Company") and the employee identified in the signature block ("Employee") as a condition of employment and applies from the date of joining.

1. Ownership of Work Product

All inventions, discoveries, developments, source code, models, prompts, datasets, documentation, designs and other work product conceived, created or developed by the Employee, alone or with others, during the course of employment and (a) using the Company's resources, (b) within the scope of duties, or (c) resulting from tasks assigned by the Company (collectively, "Work Product") are the sole property of the Company.

To the extent Work Product does not automatically vest in the Company, the Employee hereby irrevocably assigns to the Company all right, title and interest in and to the Work Product, including all intellectual-property rights, worldwide, and waives all moral rights to the extent permitted by law.

2. Confidentiality and Trade Secrets

The Employee will maintain in strict confidence all non-public information of the Company (including business plans, source code, AI prompts, model configurations, product roadmaps, financials, user data, security measures and know-how) and will use it solely to perform their duties. This obligation continues after termination for so long as such information remains confidential, and indefinitely for trade secrets.

3. Return of Property

On termination, the Employee will promptly return all Company property, credentials and materials, and permanently delete Company information from personal devices.

4. Pre-existing IP

The Employee will identify in writing any pre-existing intellectual property owned by the Employee that they intend to incorporate into Work Product. Absent such identification, no such pre-existing IP will be deemed to have been used.

5. Non-Solicitation

During employment and for twelve (12) months after termination, the Employee will not solicit for employment any employee or contractor of the Company with whom they had material contact during the last twelve (12) months.

Legal review: Any post-employment restrictions must be reviewed against Section 27 of the Indian Contract Act, 1872; broad non-competes are generally void.

6. Compliance with Policies

The Employee will comply with all Company policies, including the Acceptable Use, Security, AI Ethics and Incident Response Policies.

7. Governing Law

Governed by the laws of India; exclusive jurisdiction of courts in Bengaluru.

Amendments

Upplio AI may amend this document from time to time. Material changes will be notified by email or in-app notice at least fourteen (14) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the amended terms.
